The 442 is a third-party asset built into TRS2004, unfortunately as such its not included in Paint Shed or the Content Art Source CD's (not Auran's).
The only way of reskinning it would be to get the original source files from its author - davidt. I have wanted to reskin the 442 but have not been able to contact him as he has no email address listed publicly.
Perhaps try to contact him through someone like Natvander on the Trainz forum as he was fairly involved in the 442 creation process.

How to reskin a Trainz item depends on what your reskinning.
The simplist way is using Paintshed. You can also reskin downloaded items but you'll need to check the license, and possibly contact the original author for permission.
You can reskin any other Auran produced non-paintshed items but you will need the Content Creation Art Source CD's for this, which is fairly indepth stuff. Items contributed for inclusion in a Trainz release by third-parties you will also need access to the original source files, in which case you will have to contact the original author (like in the 442 case).
With Paintshed you can do basic skins, but if you want to you can improve these manually using a photo editor or drawing program, I use Adobe Photoshop. The GM I reskinned into ARG scheme for example was mostly done in Photoshop.
Just use Paintshed to create the basic colour scheme and necessary directories and files, and then go into the TRS2004/World/Custom/Trains directory, select the newly created paintshed item and inside there will be a file main.bmp. You can then make changes to this manually (draw over, cut and paste etc) to add things that paintshed could never do.
Reskinning downloaded items basically involves copying the downloaded items folder from the World/Dispatcher/Downloads directory to your World/Custom/Trains directory. You will then need to adjust the items in the config file (see the Content Creation Guide). Once this is done you can then start making changes to the supplied skins in Photoshop or the like.
Hope this helps, best way is to start simple and just muck about!

Is their any other way to get the right folder structure. When I try to run paintshed it just comes up with error, and then it doesn't open. I suspect the CD is scratched, as it installs OK, but won't run.
ps i'm using UTC

firstly, and no offence and im not trying to sound up myself, but repaints in paint look smeg, completely smeg and dont look right
unless it is included in the paintshed program, you cant reskin it, i dont know if auran would let you if u managed to get a responce..
you use a good photo editing program other wise the paints come out looking rather crap. cos after all paintshed reskins are just like using paint they look really... well lame =\ ive seen some that arnt that bad, but you get a better product thru proper programs, ive tried paint and paintshed, both turn out smeg
